Brand Terms & Conditions

Welcome to Wyne.

 

Wyne is a next-gen and inspiration-driven platform that connects brands, creators, and consumers. These terms and conditions (the "Agreement") outline the rules and responsibilities for brands using our platform. Please read this document carefully before proceeding. By accessing or using Wyne, you agree to comply with and be bound by the terms outlined herein.

1. Commerce Products and Services

1.1. Wyne provides features and places on Wyne Platform where you can feature, promote, and offer your products and services to users of Wyne.

 

1.2. Wyne provides features that allow you to:

 

a) get access to brand profile and utilize the features we offer, including to connect directly with creators and users to help you manage your products on Wyne;

b) upload and manage product information and listings for display to our users;

c) receive orders and independently conclude sales to our users;

d) track and manage your orders and deliveries;

e) provide customer services directly to users;

f) build brand communities and group chats; 

g) post visual content, challenges, and activities; 

h) use other functionalities and features offered by Wyne.

2. Licenses and Permissions

2.1. In offering our platform to you, we agree to use and share your data in accordance with the Wyne Privacy Policy. We utilize both in-app features and partners to help us provide, support, promote, and develop Wyne products and services, and to understand how they are used. These services include chat support, mailing, email, cloud hosting, content delivery, customer and technical support, content moderation, marketing, legal services, accounting, analytics, financial services, fraud prevention, and online payments. Your information is shared with these services and partners as necessary to enable them to perform their functions on Wyne.

2.2. You grant Wyne and its users a license to use your content for various purposes, including analyzing and displaying information about the performance and ranking of your promotions, products, and services on the Wyne Platform. This analysis may be based on factors such as user engagement with your products, user ratings, and the quality of your videos and promotions.

3. Seller Eligibility and Commitments 

3.1. To be eligible to sell on Wyne, you are required to create an account on the Wyne and complete onboarding and compliance screening.

3.2. In accessing and using our Commerce Products, you agree to the following:

a)You shall only sell on Wyne if you are 18 years of age or older.

b) You represent, warrant, and covenant that at all times during the term of the Commercial Terms:

A.You have and will maintain all the permissions, approvals, authorizations, certifications, and licenses that are necessary for you to offer, promote, sell, or otherwise make available Your Products on Wyne. 

B.You and Your Products will comply with all applicable laws, regulations, rules, requirements of relevant government authorities, and industry standards, including without limitation, applicable privacy and data protection laws, export control and economic sanctions laws, product compliance and safety laws, consumer protection laws, truth-in-advertising laws, anti-slavery laws, and child, forced, or prison labor laws ("Applicable Laws").

C. You and Your Products will comply with all applicable Wyne policies and guidelines made available by Wyne (as may be updated from time to time), which are hereby incorporated by reference and made part of these Brand Terms.

c) You shall not offer, promote, sell, or otherwise make available on Wyne, any goods or services that are illegal, counterfeit, or otherwise infringe any third party’s intellectual property rights under the Applicable Laws. 

d)If you engage with a Creator in connection with your use of Commerce Products, you shall only engage with Creators who you have confirmed are 18 years of age or older.

e)Your Content must comply with the Wyne Content Guidelines, and the Wyne Community Guidelines, each incorporated herein, which may be updated from time to time, and all Applicable Laws.

f) Your Content (whether created by you or created for you) must not include falsehoods or misrepresentations about you, us or our Affiliates (including Wyne), our or their respective partners and products, a third party, or another person. 

g) Your Content must be appropriate for audiences 13 years of age and older and adhere to our Community Guidelines.

h) You must not falsely state, misrepresent, or conceal affiliation with any person or entity.

i) It is your responsibility to understand and abide by any Applicable Laws, including the United States Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising, including by ensuring that you provide all necessary disclosures to people viewing Your Content, such as any disclosures needed to indicate the commercial or sponsored nature of Your Content (which includes content created for you by third parties).

j) Your Content must strictly comply with all Applicable Laws, including any advertising regulations, standards, and codes of practice issued by a competent authority in the United States.

 

k) Your product listings must make available all legally required terms and conditions under the Applicable Laws to a buyer prior to the conclusion of any sale.

l) You are responsible for processing and shipment of any orders and shall comply with the Wyne Shop Customer Order Shipping Policy and the Wyne Shop Fulfillment Policy below.

 

m) You shall comply with all Applicable Laws with respect to a buyer’s rights related to cancellations, returns, and refunds.

 

n) You are solely responsible for investigating and resolving disputes with buyers of Your Products. Wyne will neither be a party to nor responsible for any disputes.

3.3. Anti-Money Laundering.

 

a) You shall comply with all applicable current or future laws, regulations, and orders relating to money laundering or the financing or support of terrorism, or the prevention of money laundering or the financing and support of terrorism (“Anti-Money Laundering Laws”) in connection with your performance of these Seller Terms.

4.  Purchase Price of Your Products 

You are solely responsible for setting the purchase price of Your Products. You shall ensure that any promotional pricing, price reductions, or other discounts or offers that you may provide will at all times comply with all Applicable Laws. You acknowledge and agree that we may, in our sole discretion, offer coupons, vouchers, or other promotions that may be accessed or used by buyers that purchase Your Products.

5.  Commission System

As a seller on Wyne, you agree to comply with our commission-based model. Wyne does not impose any joining or listing fees. Instead, we charge an 18% commission on each sale generated through the platform. If no sale is generated, no commission will be charged.

6. Taxes

6.1. If you sell to buyers based in the U.S., most jurisdictions require that Wyne collects applicable sales taxes on your sales due to marketplace facilitator legislation. For sales to buyers based in marketplace jurisdictions, TikTok will calculate, collect, and remit the sales tax on your behalf. Prices advertised on Wyne are exclusive of applicable sales taxes, which will be calculated and charged at checkout.

 

6.2. Except for sales tax collection and remittance into marketplace jurisdictions, you are responsible for complying with all applicable tax laws and rules and regulations, including the determination, calculation, collection, withholding, reporting, and remittance of applicable taxes and duties, fees, surcharges, and additional charges for sales that result from your sale of products on Wyne. In the event that Wyne is held liable for your failure to withhold tax, interest or penalties with respect to any payment made on behalf of you or the information reporting for such payment, you agrees to indemnify Wyne for any such liability unless, prior to the payment, you identify the payment as requiring Wyne to withhold or report and provides all information, including the payment’s source and character, reasonably required to enable information reporting.

 

6.3. You acknowledge that your use of Wyne, including payment services, may be subject to tax information reporting and withholding requirements and agree to provide all necessary information to permit Wyne and Third- Party PSPs to comply with any such requirements.

7. Account Security, Restriction,
Suspension, and Termination

7.1. You shall keep your password secure. You are fully responsible for all activity, liability and damage resulting from your failure to maintain password security. You shall immediately notify Wyne of any unauthorized use or access of your password or your account, or any other breach of security of your account. You also agree that Wyne will not be liable for any loss or damage arising from your failure to keep your password secure or any unauthorized access of or other breach of security of your account. You shall not provide your username and password information in combination to any other party other than Wyne without Wyne's express written permission. You shall keep your account information up to date and accurate at all times, including a valid name, address, phone number and email address.

7.2. We may remove your content and product listings, cancel any transactions associated with your brand profile, and/or withdraw any promotions and/or subsidies offered by Wyne to you at any time and for any reason, in our sole discretion, without any notice to you.

 

7.3. We may suspend or permanently disable access to your brand account, your ability (and/or the ability of the company or other entity you represent) to offer and sell products on Wyne, and your Wyne account if we reasonably believe that you have violated our terms or policies, including these Brand Terms, or to protect the integrity of the Wyne Platform or the experience or enjoyment of Wyne users.

 

7.4. We will make reasonable efforts to notify you if we permanently suspend or terminate your account unless doing so may expose us or others to legal liability; harm others in the Wyne community; compromise or interfere with our brand or the integrity or operation of our services; where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons.

 

7.5. If you close or we permanently suspend, disable, or terminate your brand account, these Brand Terms will terminate as an agreement between you and us.

8. Order Fulfillment

8.1. Confirming an Order

Once an order payment is confirmed, brands are required to review the order details, check product availability, and confirm the order within 12 hours. To streamline the process, brands are encouraged to print or download the shipping label provided through the Wyne App, ensuring the correct items are prepared for shipment. Should a brand be unable to fulfill an order, they must cancel it immediately to notify the customer promptly. Failure to confirm or cancel within the specified timeframe may result in penalties or suspension from the platform.

8.2. Packaging Requirements


All brands must comply with applicable laws and regulations concerning packaging materials, including but not limited to environmental standards, safety, and product-specific guidelines. Furthermore, brands must adhere to any requirements specified by our Logistics Service Providers (LSP) to ensure appropriate packaging for each product category. Proper packaging is crucial for protecting items during transit and for providing a positive unboxing experience for customers.

8.3. Shipping & Fulfillment

Brands are responsible for shipping orders promptly, typically within 36 hours of order confirmation, unless otherwise agreed upon with the customer. Shipping must be done via the methods provided or approved by Wyne's logistics partners to ensure accurate tracking and timely deliveries. Brands must keep customers informed of any unexpected delays, and provide tracking information once an order has been dispatched.

Brands are responsible for managing shipping and other product-related matters, including addressing delivery delays, handling damaged goods, and addressing instances of lost shipments. While Wyne offers guidance and support, the ultimate resolution of these matters primarily rests with the brand. Open communication and a proactive approach are encouraged to ensure a positive customer experience.

8.4. Product Quality & Authenticity


All products listed on Wyne must be new, authentic, and meet the brand’s stated quality standards. Counterfeit or misrepresented products are strictly prohibited. Brands are required to provide accurate product descriptions, images, and specifications to avoid misleading customers. Brands also bear the responsibility for addressing product quality concerns, encompassing issues related to the condition, functionality, or authenticity of their products. Repeated violations of product quality standards may result in account suspension or removal from the platform.

8.5. Customer Service & Communication

Brands are expected to maintain professional, timely communication with customers and the Wyne team. All inquiries, complaints, or return requests must be addressed within 24 hours. Providing a high level of customer service will help ensure positive reviews and long-term success on the platform.

8.6. Returns & Refunds

Brands must comply with Wyne’s return and refund policies, which guarantee that customers have the option to return eligible products within a specific time frame. Brands are required to process refunds or exchanges promptly, typically within 7 days of receiving a return request. Return shipping costs may vary depending on the circumstances and product category.

8.7. Fair Return Practices & Documentation

To foster fairness and transparency within our community, we kindly urge brands to document returned products through video evidence. This responsible practice not only helps verify the condition and authenticity of returned items but also serves as a preventive measure against potential return scams. Please note that Wyne is not responsible for any such incidents.

9. Incomplete Delivery

9.1. If for any reason after delivery of the Product to the Fulfillment Warehouses by You, the Logistics Services cannot be completed, the Product is not delivered to the Buyer ("Incomplete Delivery"), and the Product has not left the state from which the Products were shipped by You, You shall be responsible for arranging and paying for the return of the Product to You from the Fulfillment Warehouses notified to You by Wyne. You will not be entitled to any refund, compensation, or damages in such an event.

9.2. In the event of Incomplete Delivery and the Product has left the state from which the Products were shipped by You, the Products will not be returned to You and may be disposed of by Wyne, its delegates, or subcontractors in any way that Wyne sees fit. You will not be entitled to any refund, compensation, or damages in such an event.

10. Prohibited Items

10.1.When you sell products through Wyne, there are prohibited product types. Prohibited Items are goods that are legally restricted or forbidden for shipment, handling, or sale, either under applicable laws, regulatory frameworks, or platform-specific guidelines.  It is the brand’s responsibility to ensure that no prohibited items are listed or shipped through the platform. Prohibited product types on Wyne include, but aren't limited to, the following examples:

  • age-restricted products such as alcohol, tobacco, or gambling

  • animals and livestock, including pet prescriptions and certain animal products

  • automobiles, automotive parts, and other motorized vehicles, including but not limited to recreational vehicles (RVs), all-terrain vehicles (ATVs), and motorcycles

  • cannabis products

  • drugs and drug-related products

  • financial or professional services

  • hazardous materials

  • human parts

  • mature content, services, or products that have nudity

  • means of payment, such as stamps, cash, tokens, or any other form of physical or digital currency

  • medical devices and accessories

  • surveillance equipment

  • weapons, ammunition, explosives, or related accessories, such as holsters, or any form of gun or bullet storage

10.2. Prohibited Items Handling and Compliance

Wyne does not directly handle or deliver products. Brands are fully responsible for ensuring that all items shipped comply with applicable laws, regulations, and rules regarding the handling, transit, and delivery to the final destination. You agree not to ship or cause to be shipped any goods that are illegal, restricted without proper approvals, or otherwise prohibited for shipment ("Prohibited Items"). It is your responsibility to ensure compliance with all shipping laws in the destination country.

10.3. Responsibility for Prohibited Items

As Wyne is not involved in the physical handling or delivery of products, any issues related to Prohibited Items will be solely the responsibility of the brand. If authorities, logistics partners, or other entities flag an item as prohibited or restricted, the brand will bear full responsibility for any costs, penalties, or necessary actions, including retrieving or properly disposing of the item in accordance with legal requirements.

In instances where a Prohibited Item is received by Wyne, or its logistics partners or subcontractors, Wyne reserves the right to: (i) request that you collect the Prohibited Item at your own expense, or (ii) dispose of or destroy the Prohibited Item at Wyne's sole discretion, at your cost and expense, without incurring any liability to you. You are required to cooperate fully with Wyne, its partners, and subcontractors in providing any necessary assistance or information for handling or disposal. Fees for orders containing Prohibited Items remain your responsibility and are non-refundable.

10.4. Confiscation or Disposal by Authorities

You acknowledge that if Prohibited Items are detected during shipment, they may be confiscated or disposed of by the relevant authorities without any liability to Wyne. Any losses, damages, or costs incurred as a result of such actions are solely your responsibility, and Wyne will not provide compensation or refunds for orders containing prohibited goods.

11. Brand Engagement and User Interaction

11.1. Posting Activities and Challenges


Brands on Wyne have the opportunity to create engaging activities and challenges to interact with users. When posting an activity or challenge, brands must ensure the following:

  • All activities and challenges must be relevant to the brand’s offerings, align with Wyne’s community values, and promote positive engagement. Misleading or unrelated content is prohibited.

  • Brands must provide clear rules, eligibility criteria, and reward information (if applicable) for any activity or challenge. This includes timelines, participation instructions, and methods for selecting winners.

  • Activities or challenges must comply with all applicable laws and regulations, including consumer protection, advertising standards, and sweepstakes laws (where applicable). Brands must not manipulate or influence outcomes in unfair ways.

  • Brands are responsible for ensuring that any content (images, videos, logos) used in activities or challenges does not infringe on any third-party intellectual property rights.

11.2. Managing Group Chats


Wyne allows brands to create group chats to foster community interaction with users. Brands must adhere to the following guidelines:

  • Group chats should be used to discuss relevant topics related to the brand's products, services, or industry trends. The chats must be engaging, constructive, and valuable to participants.

  • Brands are responsible for moderating group chats and ensuring a positive and respectful environment. Harassment, discrimination, hate speech, and abusive behavior are strictly prohibited. Brands must address any inappropriate behavior immediately and may remove or report users who violate conduct guidelines.

  • Brands must respect user privacy in group chats and not share personal data without consent. Any marketing efforts within group chats must comply with applicable privacy laws (e.g., GDPR, CCPA) and Wyne’s privacy policies.

  • Brands should ensure that group chat communication remains engaging and relevant, fostering active participation without overwhelming users. Spamming or excessive promotional messaging may result in limitations or penalties from the platform.

 

11.3. Content Moderation and Responsibility

 

  • Brands are fully responsible for the content they post within activities, challenges, and group chats. Wyne reserves the right to review, remove, or request modifications to any content that violates platform guidelines or applicable laws.

  • Any misuse of group chats, such as spamming users, violating user privacy, or posting inappropriate content, can lead to account suspension or removal from the platform.

 

11.4. Reporting and Support


Users and brands are encouraged to report any inappropriate behavior or content within activities, challenges, or group chats to Wyne’s support team. Wyne will investigate and take appropriate action, including content removal or user suspension, if necessary.

12. Content Usage, Recreation, and UGC

12.1. User-Generated Content (UGC) and Promotional Rights


Brands acknowledge that user-generated content (UGC) on Wyne may feature their products. By participating on the platform, brands grant Wyne and its users a non-exclusive, royalty-free right to use, share, and promote UGC for promotional and informational purposes related to the platform. UGC is integral to the platform’s social shopping experience, and brands agree to allow this content to be shared for platform-related marketing.

12.2. Business Usage of Brand Content


Brands consent to the use of their products and content within the context of Wyne’s platform and promotional efforts. While Wyne may showcase and promote brand content as part of its marketing activities, all rights and ownership remain with the brand. This agreement does not transfer any ownership rights to Wyne but allows the platform to use such content in connection with its business operations and promotional activities.

12.3. Content Recreation and User Interaction


Brands agree that Wyne’s users and creators may recreate, repurpose, and share content related to their products (e.g., posts, looks, videos, reviews) as part of the platform's interactive nature. These recreations are essential to user engagement, and brands consent to allowing users to share their experiences and recommendations freely. Brands understand that this user interaction is a core feature of Wyne’s community-driven environment.

13. Termination

13.1. Mutual Termination for Convenience


Either party may terminate these terms without cause by providing the other party with no less than sixty (60) days’ written notice.

13.2. Mutual Termination for Cause


Either party may immediately terminate these terms in the following situations:

(a) If the other party is in material breach of its obligations and the breach cannot be remedied, or if the breach is capable of being remedied but has not been resolved within thirty (30) days after receiving written notice from the non-breaching party; or


(b) If the other party undergoes liquidation, bankruptcy, or insolvency proceedings, or any other form of dissolution.

 

13.3. Wyne's Right to Terminate for Cause


Wyne may immediately terminate these terms by written notice if:


a) You breach any representations, warranties, or undertakings under these terms;
b) You repeatedly violate these terms; or
c) You fail to comply with any applicable laws or regulations.

13.4. Effect of Seller Termination


Termination of these terms for any reason will also terminate the Seller Terms between you and Wyne, and vice versa. If your account is suspended under the Seller Terms, Wyne's services for you will also be suspended.

13.5. On-Going Orders


If there are outstanding orders at the time of termination or suspension, Wyne may extend these terms until all orders are fulfilled, provided there are no violations of these terms, the Seller Terms, or applicable laws.

13.6. Effect of Termination


Termination does not relieve either party of obligations or liabilities accrued before the termination date.

14. Other Terms

14.1. Force Majeure Event


Wyne will not be liable for any delays or failures to fulfill its obligations due to circumstances beyond its control (a "Force Majeure Event"), including natural disasters, war, strikes, legal changes, or other acts of God.
